These terms and conditions of this Wholesale Agreement (“Agreement”) are between Carbon Air Limited, trading as TruTune, ("We", "Us", "Our", ”TruTune”) and you in your capacity as a Reseller, whether you operate your business via a physical retail shop, or an online e-commerce store.

1.   Definitions

1.1.                         "Trademarks" means the trademark registrations and applications listed here and any further trademarks that We may, by express notice in writing, permit, or procure permission for, the Reseller to in respect of the Products:

                                                                    

1.2.                         "Products" means the products of the type and specification manufactured and packed under the Trademarks, as varied from time to time in accordance with Clause 5.2 and any other products developed by TruTune

2.   General information

2.1.    Purchase orders are made through trutune.co.uk (“our Website”) or via email to info@trutune.co.uk

2.2.    A trade account is required on our Website in order to access wholesale purchasing. Accounts are manually approved by us after you submit our sign up form, and can be activated, closed or modified by us at any time without prior notice.

2.3.    By signing up and placing orders through your trade account, you agree to the terms of this Agreement and confirm that you have the authority to bind your business to this Agreement.

3.   Distribution Grant

3.1.    We grant you and you accept the non-exclusive right to sell our products pursuant to the terms and conditions of this Agreement.

3.2.    Sales of our products may be carried out in store or online without geographic limitations.

4.   Pricing policy

4.1.    The RRP of our products is displayed on the product page.

4.2.    The following information must be clearly displayed alongside the product (online or in store, wherever it is sold):

5.   Products

5.1.    Product descriptions on our Website are intended as a guide only. These are subject to change.

5.2.    We may make modifications to the available Products, including discontinuing existing products, at any time for any reason, including to conform to safety, design or customer requirements.

5.3.    Unless a specific request is made and agreed upon by us in writing, all Products are shipped in our retail packaging.

6.   Orders and lead times

6.1.    Orders may be placed online via our Website after logging in with your approved account.

6.2.    Alternatively, you may place an order by contacting us via email at info@trutune.co.uk and supplying a list of Products, quantities and their respective SKUs.

6.3.    Individual Products on our Website are listed as in-stock and out-of-stock. Out-of-stock Products may be pre-ordered.

6.4.    We shall use reasonable endeavours to process any orders for in-stock Products within two weeks. We shall use reasonable endeavours to fulfil any Orders for out-of-stock Products within four weeks.

6.5.    For more accurate lead time estimates, contact us at info@trutune.co.uk prior to placing an order.

6.6.    The in-stock and out-of-stock status of each Product displayed on our Website is not necessarily accurate. To verify our stock levels, please contact us at info@trutune.co.uk prior to placing an order.

7.   Payment terms

7.1.    We only dispatch products once payment is confirmed.

7.2.    There are two payment options:

7.2.1.Upfront, by credit or debit card, Paypal, Google Pay or Apple Pay

7.2.2.By invoice, with Net 30 terms, whereby payment must be made within 30 days, either by credit / debit card or via bank transfer, using the invoice number as a reference.

7.3.    Invoices are sent automatically to the email on the account, and can be downloaded from our website when logging into your trade account.

8.   Acceptance of goods

8.1.    You must inspect goods on delivery and notify us of any damage or shortages within 3 days of receiving the items. We will not accept the return of damaged or faulty goods if we were not notified in time.

9.   Cancellation

9.1.    To cancel an order, contact us at info@trutune.co.uk.

9.2.    You may cancel an order within 3 working days of when the order was placed.

9.3.    If the Products have already shipped at the time of requesting a cancellation, you will have to wait for the products to be delivered and then return them to us as described in Section 10.

9.4.    If we agree to cancel your order you will receive a full refund, including any delivery charges paid. We will process the refund within 30 calendar days of the day on which we received your notice of cancellation.

10.         Returns

10.1.                     To initiate a return, contact us at info@trutune.co.uk

10.2.                     Products may be returned, unused and in their original packaging, for any reason within 30 days of the delivery date.

10.3.                     You bear the risk and cost of returning goods.

10.4.                     All Products must be returned to the following address, and the order number must be included in the package:

10.5.                     After inspecting the Products, if we are satisfied that they show no sign of use or damage, we will process a refund excluding any delivery charges within 30 working days from when we received the items.

11.         Delivery

11.1.                     We offer Standard or Express delivery at checkout.

12.         Trademarks

12.1.                     You are granted the non-exclusive right to use Trademarks in the promotion, advertisement and sale of the Products, subject to this Agreement. You acknowledge and agree that all rights in the Trademarks shall remain in TruTune.  

12.2.                     You shall ensure that the appropriate Trademarks shall appear on all Products, containers and advertisements for the Products, followed by the symbol ®, or the letters RTM, as appropriate.

12.3.                     You are granted the non-exclusive right to use any digital content from our Website and any additional digital content provided by Us in the promotion, advertisement and sale of the Products, subject to the terms of this Agreement.
